These Terms of Service (“Terms”) constitute a legally binding agreement between your organisation (“Customer”, “you”, or “your”) and CODLINH10 TECHNOLOGIES PRIVATE LIMITED (“Codlinh10”, “we”, “us”, or “our”), CIN U72900PN2021PTC202195, governing your use of the Codlinh10 business messaging platform and related services.

By signing up for an account, submitting a demo request, or accessing our services, you confirm that you have read, understood, and agree to be bound by these Terms on behalf of your organisation.

1. Agreement to terms

These Terms apply to all users of the Codlinh10 platform, including businesses and their authorised representatives. If you do not agree to these Terms, you must not access or use our services.

For Enterprise customers, a separate Master Services Agreement (MSA) may supplement or supersede these Terms where specifically agreed in writing.

2. Service description

Codlinh10 provides a cloud-based business messaging platform that enables businesses to:

  • Access and use the WhatsApp Business API (WhatsApp Business Platform) through Codlinh10's WhatsApp Business Platform access
  • Send and receive WhatsApp messages to opted-in customers
  • Create and manage WhatsApp message templates
  • Automate messaging workflows
  • Manage customer conversations through a team inbox
  • Access analytics and reporting
  • Integrate with third-party applications via our APIs

The specific features available to you depend on your selected subscription plan. We reserve the right to modify, discontinue, or limit features with reasonable notice.

3. Acceptable use

3.1 You may not use Codlinh10 to:

  • Send messages to individuals who have not opted in to receiving communications from your business
  • Violate Meta's WhatsApp Business Policy, Messaging Policy, or Commerce Policy
  • Send spam, bulk unsolicited messages, or messages that violate TRAI regulations
  • Transmit content that is illegal, defamatory, obscene, discriminatory, or violates any third-party rights
  • Use the platform for phishing, fraud, or any deceptive practice
  • Circumvent, disable, or interfere with security features of the platform
  • Attempt to reverse-engineer, copy, or create derivative works of our software
  • Access or use another customer's account or data without authorisation
  • Use the service for any purpose that violates applicable Indian or international law

Violation of acceptable use may result in immediate suspension or termination of your account without refund. See our Acceptable Use Policy for full details.

4. Subscription and payment

4.1 Plans and fees

Codlinh10 charges a platform subscription fee based on your selected plan (Starter, Growth, or Enterprise). In addition, you are directly responsible for Meta's WhatsApp conversation charges, which are billed separately based on Meta's pricing.

4.2 Billing

  • Growth plan fees are billed monthly in advance in Indian Rupees (INR) with applicable GST
  • Payment is due within 7 days of invoice date
  • Overdue accounts may be suspended after 14 days of non-payment
  • All payments are non-refundable except as expressly stated

4.3 Pricing changes

We will provide at least 30 days' notice before increasing platform subscription fees. Meta's conversation charges are set by Meta and may change at Meta's discretion.

5. Intellectual property

Codlinh10 and its licensors retain all intellectual property rights in the platform, software, documentation, and related materials. These Terms do not grant you any ownership rights.

You retain all intellectual property rights in your customer data, message templates, and business content uploaded to the platform. You grant Codlinh10 a limited, non-exclusive licence to process this data solely to provide the services.

6. Confidentiality

Each party agrees to keep confidential the other party's non-public business information, technical data, and customer data. This obligation survives termination for 3 years. Customer data is the Customer's confidential information.

7. Warranties and disclaimers

Codlinh10 warrants that it will provide the services with reasonable care and skill and substantially in accordance with the documentation. THE SERVICES ARE OTHERWISE PROVIDED “AS IS”. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DISCLAIM ALL IMPLIED WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW.

In particular, we do not warrant or guarantee message delivery rates, WhatsApp template approval timelines (which are determined by Meta), or the availability of specific WhatsApp Business Platform features (which may change per Meta's policies).

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA.
  • CODLINH10'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 3 MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the basis of the claim (contract, tort, statute, or otherwise).

9. Indemnification

You agree to indemnify, defend, and hold harmless Codlinh10 and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the services in violation of these Terms; (b) your violation of Meta's policies or applicable law; (c) your customer data; or (d) your messaging to end customers.

10. Termination

10.1 By you

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to the platform until then.

10.2 By Codlinh10

We may terminate or suspend your account with 30 days' notice, or immediately for material breach of these Terms, violation of Meta's policies, non-payment, or if required by law.

10.3 Effect of termination

Upon termination, your access to the platform ceases. We will retain your data for 90 days after termination to allow for export, after which it will be deleted in accordance with our data retention policy.

11. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.

Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days. For Enterprise customers, disputes may be resolved through arbitration per the Arbitration and Conciliation Act 1996 if agreed in the MSA.

12. Miscellaneous

  • Entire agreement: These Terms, along with the Privacy Policy, DPA, and Acceptable Use Policy, constitute the entire agreement between the parties.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in force.
  • No waiver: Failure to enforce any provision does not constitute a waiver.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger or acquisition.
  • Force majeure: Neither party is liable for delays or failures caused by circumstances beyond their reasonable control.
